The Offers are made on the terms and subject to the conditions set out in the tender offer memorandum dated 28 November 2019 (the Tender Offer Memorandum).Copies of the Tender Offer Memorandum are (subject to distribution restrictions) available from the Tender Agent as set out below. Specifically, the 2021 Purchase Price will equal (a) the value of all remaining payments of principal and interest on the 2021 Notes up to and including the scheduled maturity date of the 2021 Notes, minus (b) the relevant Accrued Interest.The Purchase Price in respect of the 2022 Notes (the 2022 Purchase Price) shall be determined in the manner described in the Tender Offer Memorandum by reference to a yield of 0 per cent. The 2023 Purchase Price will be determined in accordance with market convention and expressed as a percentage of the nominal amount of the 2023 Notes, and is intended to reflect a yield to maturity of the 2023 Notes on the Settlement Date equal to the 2023 Purchase Yield.
