Canexus Announces Its Intention to Offer $75,000,000 of Senior Unsecured Notes

CALGARY, AB–(Marketwired – September 13, 2016) –

Canexus Corporation (TSX: CUS) (the “Corporation” or “Canexus”) announced today that it intends, subject to market and other conditions, to offer CDN$75 million (the “Offering”) aggregate principal amount of senior unsecured notes due 2023 (the “Notes”) by way of private placement.

The Notes will be senior unsecured obligations of Canexus and will be unconditionally guaranteed by certain of Canexus’ current and future subsidiaries and will rank pari passu with all of Canexus’ other present and future senior unsecured indebtedness. Canexus intends to use the net proceeds from the Offering to repay indebtedness of the Corporation, including a portion of its senior secured borrowings and for general corporate purposes.

The Notes will not be qualified for distribution to the public under the securities laws of any province or territory of Canada and may not be offered or sold in Canada, directly or indirectly, other than pursuant to applicable private placement exemptions. The Notes have not and will not be registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of such Act.
