Orbite Technologies Inc. (TSX:ORT)(OTCQX:EORBF) (“Orbite”, or the “Company”), announces the closing of a private placement offering (the “Offering”) of convertible debentures for an aggregate principal amount of $8.5 million (the “Debentures”), secured against the Company’s investment tax credit receivables resulting from capital expenditures at its HPA plant in Cap-Chat, Quebec for the Company’s 2015 financial year. Each Debenture is comprised of $1,000 principal amount bearing interest at a rate of 7% annually, maturing 2 years from the date hereof and convertible into class A shares of the Company (“Common Shares”) at a price of $0.44.
“We are very pleased with being able to cost effectively monetize in full our 2015 Investment Tax Credits,” stated Glenn Kelly, CEO of Orbite. “This allows us to reimburse the $7.6 million bridge loan entered into with Investissement Québec in November 2015, and supplement our working capital.”
Echelon Wealth Partners Inc. acted as sole agent in respect of the Offering and received a cash commission equal to 4% of the gross proceeds raised. In addition, 772,727 broker warrants were issued as compensation, with each such warrant exercisable by the holder thereof into one Common Shares of the Company at a price of $0.44 for a period of 3 years from the date hereof.
The Offering was conducted on a private placement basis exempt from the prospectus requirements of applicable securities laws and the Debentures and underlying Common Shares are subject to a mandatory four-month hold period.
