DENVER, Aug. 13, 2020 (GLOBE NEWSWIRE) — ANGI Homeservices Inc. (NASDAQ: ANGI) (“ANGI”) announced today that its wholly owned subsidiary, ANGI Group, LLC (“ANGI Group”), has agreed to sell $500 million aggregate principal amount of senior notes due 2028 (the “Notes”) in a private offering (the “Offering”). The Notes will bear interest at a rate of 3.875% per annum and will be issued at 100.000% of their face value. The Notes will be guaranteed by certain subsidiaries of ANGI Group. The Offering is expected to close on August 20, 2020, subject to the satisfaction of customary closing conditions.
ANGI intends to use the net proceeds of the offering for general corporate purposes, including potential future acquisitions and return of capital.The Offering is being made only to persons reasonably believed to be qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons outside the United States in compliance with Regulation S under the Securities Act.
