Aura Completes Share Consolidation

ROAD TOWN, British Virgin Islands, Jan. 02, 2019 (GLOBE NEWSWIRE) — Aura Minerals Inc. (TSX: ORA) completed, effective December 31, 2018 (the “Effective Time”), the previously announced consolidation (the “Consolidation”) of its common shares (the “Shares”) on the basis of one new Share for ten old Shares.  The Company’s consolidated common shares are expected to begin trading on the Toronto Stock Exchange (“TSX”) when the markets open on January 7, 2019.

Details

As a result of the Consolidation, the number of issued and outstanding Shares will be reduced from 43,377,336 to 4,337,733 (subject to fractional treatment). Each shareholder’s percentage ownership in the Company and proportional voting power will remain unchanged after the Consolidation, except for minor changes and adjustments resulting from the treatment of fractional shares.

The new CUSIP number for the post-Consolidation common shares will be G06973 112 and the new ISIN number will be VGG069731120.

Registered shareholders of the Company will receive a letter of transmittal (the “LT”) from the Company’s transfer agent, TSX Trust Company, as soon as practicable after the Effective Date. The LT will enable registered shareholders to exchange their old share certificates representing pre-Consolidation Shares for post-Consolidation Shares. Until surrendered, each share certificate representing pre-Consolidation Shares will represent the number of whole post-Consolidation Shares to which the holder is entitled as a result of the Consolidation.

Shareholders who hold their common shares in brokerage accounts or in “street name” are not required to take any action to effect the exchange of their Shares.

Fractional interests of 0.5 or greater will be rounded up to the nearest whole number of New Common Shares and fractional interests less than 0.5 will be rounded down to the nearest whole number of shares.   For Shareholders holding 9 shares or less prior to the Effective Time, Shareholders will receive cash in an amount equal to the product obtained by multiplying (i) CAD$1.90 (the closing price per share of the Company’s common shares on the TSX as of the Effective Date) by (ii) the number of shares owned by the Shareholder prior to the Effective Time.

The listing of the post-Consolidated Shares is subject to the final approval of the TSX.
