Black Diamond Announces Increase to Previously Announced Bought Deal Financing

CALGARY, ALBERTA–(Marketwired – July 7, 2016) –

Black Diamond Group Limited (“Black Diamond” or the “Company”) (TSX:BDI) is pleased to announce that due to strong demand, the Company has increased the size of its previously announced offering to 4,903,800 common shares (the “Shares”), at a price of $5.05 per Share for aggregate gross proceeds to Black Diamond of $24,764,190 (the “Offering”). The Company has entered into an agreement with a syndicate of underwriters (the “Underwriters”), led by Raymond James Ltd. and including BMO Capital Markets, Acumen Capital Finance Partners Limited, Cormark Securities Inc., and Peters & Co. Limited. In addition, Black Diamond has granted the Underwriters an over-allotment option, exercisable for a period of 30 days following closing of the Offering to purchase up to an additional 490,380 Shares which, if exercised, would increase the gross offering size to $27,240,609, to cover over-allotments, if any, and for market stabilization purposes. The Offering is expected to close on or about July 26, 2016, and is subject to the approval of securities regulatory authorities and the Toronto Stock Exchange.

The net proceeds of the Offering are expected to be used to partially repay outstanding indebtedness, which may be redrawn and used to fund capital expenditures, acquisitions, organic growth initiatives, working capital and for general corporate purposes.

The Offering will be completed by way of short form prospectus in all provinces of Canada, except Quebec, and on a private placement basis in the United States pursuant to exemptions from the registration requirements of the United States Securities Act of 1933, as amended (the “U.S. Securities Act”).
