(NASDAQ: CLXT), a plant-based technology company, has entered into definitive agreements with institutional investors for the purchase and sale of 3,750,000 shares of Calyxt’s common stock, at a purchase price of $4.00 per share, in a registered direct offering. Cellectis subscribed to purchase 1,250,000 shares in the offering. Following the registered direct offering, Cellectis will own approximately 64.7% of Calyxt’s outstanding shares of common stock.The closing of the offering is expected to occur on or about October 20, 2020, subject to the satisfaction of customary closing conditions.H.C. Wainwright & Co. is acting as the exclusive placement agent for the transaction.The gross proceeds to Calyxt from this offering are expected to be $15 million, before deducting the placement agent’s fees and other offering expenses payable by Calyxt.
