SINGAPORE and OSLO, Norway, Feb. 15, 2024 (GLOBE NEWSWIRE) — Catcha Investment Corp (NYSE American: CHAA) (“Catcha”), a publicly traded special purpose acquisition company, and Crown LNG Holdings AS (“Crown”), a leading provider of LNG liquefaction and regasification terminal infrastructure solutions for harsh weather locations, today announced that the U.S. Securities and Exchange Commission (the “SEC”) has declared effective the Registration Statement on Form F-4, as amended (the “Registration Statement”), in connection with the previously announced proposed business combination between the two companies (the “Business Combination”).
An extraordinary general meeting of Catcha shareholders (the “Special Meeting”) to approve the Business Combination is scheduled to be held on March 6, 2024 at 9:00 a.m. Eastern Time. The Special Meeting will be held in person at the offices of Goodwin Procter LLP, 620 8th Avenue, New York, New York 10018 and virtually via live audio webcast. Holders of Catcha’s Class A ordinary shares and Class B ordinary shares at the close of business on the record date of January 16, 2024 are entitled to notice of the Special Meeting and to vote at the Special Meeting. Catcha expects to file the definitive proxy statement/prospectus relating to the Business Combination with the SEC and begin mailing it to shareholders on or about February 15, 2024. Assuming satisfaction or waiver of the conditions to the closing of the business combination, including approval of the business combination by Catcha’s shareholders, the parties anticipate that the Business Combination will close and the combined company’s ordinary shares and warrants will commence trading on the New York Stock Exchange or the Nasdaq Capital Market under the new ticker symbols “CGBS” and “CGBSW,” respectively, shortly thereafter.
