(TSXV: DSV; OTCQX: DSVMF) is pleased to announce that it has closed the first tranche of the non-brokered private placement (the “Private Placement”) as previously announced on May 18, 2020. The first tranche consists of 31,090,945 units (“Units”) at a price of C$0.55 per Unit for aggregate proceeds of C$17,100,020. Each Unit is comprised of one common share of Discovery (“Common Share”) and one half of one Common Share purchase warrant, with each full warrant (a “Warrant”) exercisable at C$0.77 for a period of two years after the date of issuance. Discovery intends to close a further C$7,899,980 in subscriptions in a second tranche of the Private Placement, for an aggregate total of C$25,000,000.
Mr. Eric Sprott, through 2176423 Ontario Ltd. (a corporation which is beneficially owned by him), acquired 18,181,800 Units (composed of 18,181,800 Common Shares and 9,090,909 Warrants) in the Private Placement, for a total investment of C$10,000,000. Prior to the closing of the Private Placement, Mr. Sprott owned 44,610,111 Common shares of Discovery representing 21.1% of the interest of Discovery on a non-diluted basis. Through the purchase of Common Shares and Warrants in the Private Placement, as of the closing of the first tranche and until the closing of the second tranche of the Private Placement, Mr. Sprott will own approximately 25.9% interest in Discovery on a non-diluted basis and approximately 28.6% on a partially diluted basis assuming the exercise of the Warrants owned by Mr. Sprott.
