TORONTO, Oct. 28, 2019 (GLOBE NEWSWIRE) — Dundee Precious Metals Inc. (TSX: DPM) (“DPM” or the “Company”) today announced the completion of a non-brokered C$10,000,000 (approximately US$7,650,000) private placement (the “Offering”) in INV Metals Inc. (“INV Metals”). Pursuant to the terms of the Offering, INV Metals issued 25,000,000 common shares (the “Common Shares”) to the Company at a price of C$0.40 per Common Share. Following completion of the Offering, the Company owns 26,538,462 Common Shares, or approximately 19.5% of the issued and outstanding Common Shares, calculated on a non-diluted basis. The Common Shares issued under the Offering are subject to a customary four month and one day statutory hold period.In connection with the Offering, the Company has entered into an investor rights agreement with INV Metals, dated October 28, 2019 (the “Investor Rights Agreement”). Pursuant to the terms of the Investor Rights Agreement, for so long as the Company owns, exercises control or direction over, in aggregate not less than 10% of the Common Shares issued and outstanding, the Company is entitled to designate one individual to be nominated to serve as a director of INV Metals. Under the terms of the Investor Rights Agreement, the Company has also agreed to a customary standstill and has been granted customary anti-dilution rights.
