TORONTO, Nov. 01, 2018 (GLOBE NEWSWIRE) — Fairfax India Holdings Corporation (TSX: FIH.U) announces net earnings of .2 million in the third quarter of 2018 ({$content}.61 net earnings per diluted share) compared to a net loss of .2 million in the third quarter of 2017 ({$content}.36 net loss per diluted share), reflecting increased net unrealized gains on investments.
Highlights in the third quarter of 2018 included the following:
- The third quarter of 2018 included a net change in unrealized gains on investments of 6.2 million, principally from an increase in the fair values in the company’s investments in the private companies Sanmar of 5.0 million and Bangalore International Airport of .4 million, and the company’s investment in the Sanmar bonds of .3 million, partially offset by a decrease in the market price of the company’s investment in the public company IIFL that depreciated by 1.9 million.
- On September 17, 2018 the company announced that it had entered into an agreement with Sanmar to which the 9.0 million in bonds will be settled for consideration equal to, at the date of cancellation, the bonds’ principal amount plus an effective annual interest rate of 13.0%. The company will invest 4.3 million at current exchange rates (approximately 14.1 billion Indian rupees) of the net proceeds received from the settlement of the bonds into 171,710 newly issued common shares of Sanmar, increasing the company’s equity interest to 42.9% from 30.0% at September 30, 2018. In the third quarter of 2018 as a result of favourable operational developments at Sanmar, the company recorded unrealized investment gains from its investments in the Sanmar common shares and bonds of 5.0 million and .3 million, respectively.
- At September 30, 2018 common shareholders’ equity was ,014.4 million, or .08 per share, compared to ,132.5 million, or .46 per share, at December 31, 2017, a decrease of 9.5% primarily related to unrealized foreign currency translation losses as a result of the weakening of the Indian rupee relative to the U.S. dollar, partially offset by net earnings in the first nine months of 2018.
Subsequent to September 30, 2018:
- On October 19, 2018 the company invested .2 million (approximately 4.4 billion Indian rupees) in securities of The Catholic Syrian Bank (“CSB”), comprised of 19.8 million common shares for .5 million (approximately 0.7 billion Indian rupees), and warrants to purchase 66.5 million common shares for .7 million (approximately 3.7 billion Indian rupees). The consideration paid at closing represented 25.0% and 40.0% of the consideration payable for the common shares and warrants respectively. The balance of the consideration payable to CSB of approximately 4 million at the exchange rate at that date (approximately 7.7 billion Indian rupees) is payable within 18 months following the initial investment, payable in one or more tranches either upon request by CSB or at the option of Fairfax India. Following the payment of the remaining consideration, Fairfax India will have invested approximately 5 million (approximately 12.1 billion Indian rupees) and will own a 51.0% equity interest in CSB on a fully diluted basis.
There were 154.6 million and 147.4 million weighted average shares outstanding during the third quarters of 2018 and 2017 respectively. At September 30, 2018 there were 124,062,896 subordinate voting shares and 30,000,000 multiple voting shares outstanding.
