SAN JOSE, Calif., Feb. 20, 2020 (GLOBE NEWSWIRE) — Firsthand Technology Value Fund, Inc. (NASDAQ: SVVC) (the “Fund”), a publicly-traded venture capital fund that invests in technology and cleantech companies, announced today the final results of its “modified Dutch auction” tender offer (the “Tender Offer”). The Fund’s Tender Offer expired at 5:00 P.M., Eastern Standard Time, on February 14, 2020. The Tender Offer was made pursuant to an Offer to Purchase dated December 17, 2019 and the related Letter of Transmittal, by which up to $4 million of the Fund’s common stock would be purchased at a price per share not less than $6.00 and not greater than $8.00 per share, in $0.10 increments.
In accordance with the Fund’s previously announced Tender Offer, and based on the final count by Computershare Trust Fund, N.A., the depositary for the Tender Offer, 571,428 shares will be purchased, representing 8.0% of the Fund’s outstanding shares, for payment on or about February 21, 2020, at a price of $7.00 per share. The Fund has determined that the proration factor for the Tender Offer is approximately 69.5%.
