(“Empire”), held today, the merger of Empire with and into Flushing (the “merger”) pursuant to the Agreement and Plan of Merger, dated October 24, 2019, as amended (the “merger agreement”) was approved by the shareholders of Empire. As previously announced, the required regulatory approvals for the merger have been obtained. Flushing and Empire expect the merger to close effective on or about April 4, 2020.
