Four River Ventures Ltd. (NEX:FFC.H) (“Four River” or the “Company“), is pleased to announce that, further to its news releases dated August 8 and September 15, 2016, it has entered into an arrangement agreement dated October 6, 2016 including a plan of arrangement (the “Plan of Arrangement“) for the acquisition of Canabo Medical Corporation (“Canabo“), a private corporation existing under the laws of Canada. This transaction will be an exchange of securities with all of the securityholders of Canabo (the “Transaction“) on the terms previously announced, and the Plan of Arrangement must be adopted by the securityholders of Canabo by special resolution, in accordance with the requirements of the Business Corporations Act (BC). In result, upon completion of the Plan of Arrangement, Canabo will become a wholly-owned subsidiary of the Company.
The principal business carried on by Canabo and intended to be carried on by the Company is the operation of medical clinics for evaluating the suitability of, prescribing, and monitoring cannibinoid treatments for patients suffering from chronic pain and disabling illnesses. Canabo currently operates ten medical clinics across Canada, staffed by licenced physicians and other qualified health care practitioners.
