(NASDAQ: FRG) (“Franchise Group” or the “Company”) announced today the upsizing and pricing of its previously announced underwritten public offering of 4,200,000 shares of its common stock at a public offering price of $23.25 per share, for an aggregate offering amount of $97,650,000. The size of the offering was increased from the previously announced 3,500,000 shares of common stock. In addition, the Company has granted the underwriters a 30-day option to purchase up to 630,000 additional shares of common stock at the public offering price, less underwriting discounts and commissions.
The estimated net proceeds of the offering after underwriting discounts and offering expenses are approximately $92 million or approximately $106 million assuming the underwriters fully exercise their option to purchase additional shares.
