Hampton Financial Corporation Announces Non-Brokered Private Placement of Units

TORONTO, Dec. 27, 2018 (GLOBE NEWSWIRE) — Hampton Financial Corporation (“Hampton” or the “Corporation”) (TSXV: HFC) (TSXV: HFC.PR.A) is pleased to announce a non-brokered private placement offering (the “Offering”) of up to 1,000,000 units (“Units“). Each Unit will be offered at a price of $0.30 CAD per Unit for aggregate gross proceeds of up to $300,000 CAD.

Each Unit will consist of one subordinate voting share in the capital of the Corporation (each, a “Share”) and one subordinate voting share purchase warrant (each, a “Warrant“). Each Warrant will entitle the holder, upon the exercise thereof, to purchase one additional Share (each, a “Warrant Share”) at the price of $0.40 CAD per Warrant Share for a period of 24 months following the date of the closing of the Offering.

The proceeds from the Offering will be used for working capital and general corporate purposes.

All securities issued pursuant to the Offering will be subject to a four-month hold period. The Offering is subject to a number of customary conditions, including, without limitation, approval by the TSX Venture Exchange (“TSXV”).

Investors in the Offering are expected to include certain insiders of the Corporation (collectively, “Insider Purchasers”). The participation of Insider Purchasers will constitute a “related party transaction” for purposes of Multilateral Instrument 61-101 ― Protection of Minority Security Holders in Special Transactions (“MI 61-101”) and Policy 5.9 ― Protection of Minority Security Holders in Special Transactions of the TSXV. The Corporation expects to rely on exemptions from the formal valuation and minority approval requirements available under MI 61-101 as neither the fair market value of the subject matter of, nor the fair market value of the consideration for, the transaction, insofar as it involves interested parties, is expected to exceed 25% of the Corporation’s market capitalization. The Corporation expects to file a material change report less than 21 days before the expected date of the closing of the Offering, which shorter period the Corporation deems reasonable in the circumstances so as to be able to avail itself of the proceeds of the Offering in a timely manner.
