(the “Purchasers“), notified the Company that the Ministry of Communications has issued a control permit in Bezeq – The Israel Telecommunication Corp. Ltd. (the “Control Permit”) to the Purchasers. Issuance of the Control Permit is a condition to closing of the Searchlight Transaction.The Company is currently in discussion with the Purchasers in order to finalize all remaining actions between the issuance of the Control Permit and the closing of the transaction. There is no certainty that the transaction will be consummated.As previously announced, if the transaction is consummated, the Company will not be able to fully pay its debts, and the Company intends to initiate a creditors’ arrangement which will be submitted to the applicable Israeli court pursuant to Section 350 of the Israeli Companies Law.
