Laurentian Bank of Canada Announces C$201 Million Bought Deal Offering of Subscription Receipts and C$25 Million Concurrent Private Placement of Subscription Receipts

Laurentian Bank of Canada (TSX:LB) (Laurentian Bank or the Bank) has announced today that it has entered into an agreement with a syndicate of underwriters (the Underwriters) led by TD Securities Inc., BMO Capital Markets and RBC Capital Markets pursuant to which the Underwriters have agreed to buy, on a bought deal basis, from Laurentian Bank 3,880,000 subscription receipts (the Subscription Receipts) at a price of $51.70 per Subscription Receipt for total gross proceeds of $200,596,000 (the Public Offering). Laurentian Bank has also granted the Underwriters an option to purchase up to an additional 291,000 Subscription Receipts at a price of $51.70 per Subscription Receipt (the Offering Price) at any time up to 30 days after closing of the Public Offering. If this option is exercised in full, an additional $15,044,700 will be raised pursuant to the Public Offering and the aggregate gross proceeds of the Public Offering will be $215,640,700.

Laurentian Bank has also announced today that it has entered into a subscription agreement with Caisse de dépôt et placement du Québec (Caisse), pursuant to which Caisse has agreed to purchase, on a prospectus-exempt basis, 483,560 subscription receipts (the Placement Subscription Receipts) at the Offering Price for gross proceeds to the Bank of $25,000,052 (the Concurrent Private Placement). The conditions relating to the holding and release from escrow of the subscription amount from the Concurrent Private Placement and the issuance of the underlying Common Shares pursuant to the Placement Subscription Receipts are substantially equivalent to those applicable to the Public Offering.

The Bank intends to use the net proceeds from the Public Offering and the Concurrent Private Placement to finance a portion of the purchase price for its proposed acquisition (the Acquisition) of all of the issued and outstanding equity interests in the capital of NCF Holdings LLC (Northpoint Commercial Finance), which, together with its subsidiaries, is among the leading US and Canadian inventory finance lenders with a portfolio of approximately $1.2 billion as at March 31, 2017. The Acquisition is expected to close before the end of the fiscal year ending October 31, 2017, subject to customary closing conditions, including applicable regulatory notifications, waiting periods and approvals.

Each subscription receipt will entitle the holder to receive, if the Acquisition closes, one common share in the capital of the Bank (a Common Share), together with an amount per subscription receipt equal to the per-share cash dividends declared by the Bank on the Common Shares to holders of record on a date during the period from and including the closing date of the Public Offering and Concurrent Private Placement to but excluding the closing date of the Acquisition. The gross proceeds from the Public Offering less 50% of the Underwriters’ fee payable on the closing date of the Public Offering, together with the gross proceeds from the Concurrent Private Placement, will be held in escrow, pending closing of the Acquisition. If the Acquisition closes on or before October 31, 2017, the escrowed proceeds from the Public Offering and Concurrent Private Placement will be released to the Bank and used by the Bank to pay a portion of the purchase price of the Acquisition. If the Acquisition fails to close by October 31, 2017, or the Acquisition is terminated at an earlier time, the gross proceeds and pro rata entitlement to interest earned on the escrowed proceeds thereon will be paid to holders of the subscription receipts.

Completion of the Concurrent Private Placement is conditional upon the concurrent closing of the Public Offering. Completion of the Public Offering is conditional upon the concurrent closing of the Concurrent Private Placement.

The Public Offering and Concurrent Private Placement are subject to the receipt of all necessary regulatory and stock exchange approvals. The closing date of the Public Offering and Concurrent Private Placement is expected to be on or about May 26, 2017.

The Subscription Receipts will be offered for sale to the public in each of the provinces of Canada pursuant to a prospectus supplement to be dated on or around May 18, 2017 to the Bank’s short form base shelf prospectus dated December 20, 2016, which will be filed with Canadian securities regulatory authorities in all Canadian provinces. The Bank intends to file a prospectus supplement in respect of the Public Offering in accordance with applicable Canadian securities regulations.
