KEMET Encourages Stockholders to Vote “FOR” the Transaction TodayFORT LAUDERDALE, Fla., Feb. 10, 2020 (GLOBE NEWSWIRE) — KEMET Corporation (“KEMET”) (NYSE: KEM) today announced that leading proxy advisory firm Institutional Shareholder Services (“ISS”) recommends that stockholders vote “FOR” the proposed all-cash acquisition of KEMET by Yageo Corporation (“Yageo”) (TAIEX: 2327).
In its February 7, 2020, report, ISS notes1:“Support for the merger is warranted in light of the premium to the unaffected price, the reasonably thorough sale process, and the liquidity and certainty of value inherent in the cash consideration.”
“The offer represents an 18.2 percent premium to the unaffected price, and [KEMET] was able to negotiate a 13.3 percent increase in the merger consideration from Yageo’s initial $24.00 per share offer.”
