(TSXV: MNC) (“Magnetic North” or the “Company”) is pleased to announce a new non-brokered private placement (the “Offering”) of Series A Preferred Shares for gross proceeds of up to $1,200,000. Closing of the Offering is expected to occur on or about July 29, 2020.
On June 15, 2020, the Company completed a last closing of 53,200 Series A Preferred Shares at a price of $10.00 per share for gross proceeds of $532,000 of its previously announced private placement (the “Financing”). The Company issued an aggregate of 284,127 Preferred Shares under the Financing for total gross proceeds of $2,841,270. The Company also paid finder’s fees of an aggregate total of $46,867.10 under the Financing rather than the $38,069.50 previously reported. In addition, one of the Company’s directors participated in the Financing.This new Offering, following the recent completion of the Financing, is to allow the Company to satisfy additional interest from investors in its Series A Preferred Shares. The proceeds from the Offering will allow Magnetic North to make investments in certain of the Company’s investee companies and for working capital purposes.The participation by the director in the Financing constitutes a “related party transaction” within the meaning of Multilateral Instrument 61‑101 ‑ Protection of Minority Security Holders in Special Transactions (“MI 61‑101“).
