MedX Health Corp. (“MedX” or the “Company”) (TSX VENTURE: MDX). The Company announces it has closed a final tranche of a previously announced non-brokered private placement, raising proceeds of $334,750 to its treasury by issuance of 5,149,998 units, comprising 5,149,998 common shares and 5,149,998 share purchase warrants (“Warrants”) at $0.065 per unit. Each Warrant entitles the holder to purchase one additional common share during the period expiring September 15, 2019, at $0.14 per share. The securities issued through the private placement were subscribed for by accredited investors, and are restricted from trading before January 16, 2017.
Following the foregoing issuance of shares in the placement, MedX has 96,966,161 shares outstanding.
The Company announced on May 30, 2016 a non-brokered private placement of a minimum of 7,692,307 units and a maximum of 23,076,923 units at a price of $0.065 per unit, for gross proceeds of a minimum of $500,000 and a maximum of $1,500,000, subject to receipt of applicable regulatory approvals including acceptance of the TSXV Venture Exchange, and including the amount announced today and previous closings, raised $1,499,917 (representing 23,075,652 units) as a result of the placement. Each unit consists of one common share in the capital of the Company and one warrant, with each warrant exercisable into one common share at a price of $0.14 for a period of 36 months after closing. The Company announced on June 6, 2016 that it had closed a first tranche, raising proceeds of $560,400.15 to its treasury by issuance of 8,621,540 units, comprising 8,621,540 common shares and 8,621,540 share purchase warrants. The Company announced on August 2, 2016 that it closed a second tranche, raising proceeds of $165,275 to its treasury by issuance of 2,542,692 units, comprising 2,542,692 common shares and 2,542,692 share purchase warrants. The Company announced on September 2, 2016 that it closed a third tranche, raising proceeds of $439,493 to its treasury by issuance of 6,761,422 units, comprising 6,761,423 common shares. The proceeds from the private placement will be used for development of product and marketing initiatives, and general corporate expenses and working capital.
