Northern Vertex Increases Non-Brokered Private Placement Financing to $1.2 Million

VANCOUVER, BRITISH COLUMBIA–(Marketwired – Nov. 24, 2016) –

Northern Vertex Mining Corp. (TSX VENTURE:NEE) (the Company”) is pleased to announce that its previously announced Non-Brokered Private Placement (the “Private Placement”) (see news release dated November 16, 2016) has been increased from 2.5 million units, to up to approximately 3.0 million units (each “Unit”), for increased aggregate total gross proceeds to the Company from $1,000,000 to $1,200,000, the purchase price of $0.40 per Unit and other terms remain unchanged.

Each Unit consists of one common share (“Common Share”) of the Company and one half transferable share purchase warrant (“Warrant”). Each whole Warrant will entitle the holder to acquire one Common Share of the Company at an exercise price of $0.65 for a period of 24 months from the closing date of the Private Placement.

The Company intends to use the net proceeds of the Private Placement to conduct a multi-phase drill program on several prospective gold-silver targets identified from its ongoing property wide exploration program on its Moss Mine Gold Silver property located in Mohave County, Arizona, U.S.A. and for general working capital purposes. The Company has identified four high priority targets that will be the focus of an ongoing multi-phase drill program on Moss. These include the West Oatman stockwork vein target, the high-grade Old Timer East and West targets and the Western Extension of the Moss.

A cash finders’ fees within TSX Venture Exchange policy guidelines may be paid in connection with the Private Placement. The Private Placement remains subject to certain conditions including, but not limited to, regulatory approval and the acceptance of the TSX Venture Exchange.

The Company also announces that under the terms of the convertible debenture indenture dated as of July 14, 2016 between the Company and Computershare Trust Company of Canada, it has elected to satisfy its obligation to pay an aggregate of $138,178 in interest on the convertible debentures which were issued pursuant to the private placement which closed on July 14, 2016, by issuing to such debenture holders common shares of the Company. The Company will issue an aggregate of 363,626 common shares to such debenture holders on the interest payment date of November 30, 2016. The Company will pay to each such debenture holder 5.0329 common shares per $100 principal amount of debentures held as at the interest payment record date. Under the terms of the Indenture, no fractional common shares will be delivered upon payment of the interest obligation and the Company is not required to pay the cash equivalent of any amount less than $5.00.
