SARASOTA, Fla., Aug. 18, 2020 (GLOBE NEWSWIRE) — Roper Technologies, Inc. (NYSE: ROP) (the “Company”) announced today the pricing of its public offering of $300 million of 0.45% Senior Notes due 2022 (the “2022 notes”), $700 million of 1.00% Senior Notes due 2025 (the “2025 notes”), $700 million of 1.40% Senior Notes due 2027 (the “2027 notes”) and $1 billion of 1.75% Senior Notes due 2031 (the “2031 notes” and, together with the 2022 notes, 2025 notes, and 2027 notes, the “notes”). The offering is expected to close, subject to the satisfaction of customary closing conditions, on September 1, 2020.
The 2022 notes will bear interest at the rate of 0.45% per year, the 2025 notes will bear interest at the rate of 1.00% per year, the 2027 notes will bear interest at the rate of 1.40% per year and the 2031 notes will bear interest at the rate of 1.75% per year. Interest on the notes will be payable semi-annually on February 15 and August 15 of each year, beginning February 15, 2021 for the 2022 notes and 2031 notes, and on March 15 and September 15 of each year, beginning March 15, 2021 for the 2025 notes and 2027 notes. The 2022 notes will mature on August 15, 2022, the 2025 notes will mature on September 15, 2025, the 2027 notes will mature on September 15, 2027 and the 2031 notes will mature on February 15, 2031. The notes will be senior unsecured obligations of the Company.Net proceeds from the sale of the notes will be used to fund a portion of the purchase price of the previously announced Vertafore acquisition and pay fees and expenses in connection with the Vertafore acquisition, and the other transactions related thereto.
