RTI Surgical Holdings, Inc.® Announces Expiration of Hart-Scott-Rodino Waiting Period With Respect to Sale of OEM Business

DEERFIELD, Ill., March 03, 2020 (GLOBE NEWSWIRE) — RTI Surgical Holdings, Inc. (Nasdaq: RTIX), a global surgical implant company, announced today that the waiting period under the Hart-Scott-Rodino Antitrust Improvement Act of 1976, as amended (the “HSR Act”), with respect to the proposed sale (the “Sale”) of RTI’s OEM business to Ardi Bidco Ltd., a Delaware corporation and an entity affiliated with Montagu Private Equity, LLP (the “Buyer”), expired at 11:59 p.m. Eastern Time on February 28, 2020.
The expiration of the waiting period under the HSR Act satisfies one of the conditions to the closing of the Sale, which remains subject to other customary closing conditions set forth in the Equity Purchase Agreement, dated January 13, 2020, with the Buyer, including the approval of RTI’s stockholders and the receipt of certain other required regulatory approvals.Molly Poarch
