THL Credit, Inc. Announces Expiration and Final Results of Modified Dutch Auction Tender Offer to Repurchase up to $20.0 Million of its Common Stock

BOSTON, July 23, 2020 (GLOBE NEWSWIRE) — THL Credit, Inc. (Nasdaq: TCRD) (the “Company”) today announced its final results from its modified “Dutch Auction” tender offer (the “Tender Offer”). The Company’s Tender Offer expired at 11:59 P.M., Eastern Time, on July 21, 2020. The Tender Offer was made pursuant to an Offer to Purchase dated June 23, 2020 and the related Letter of Transmittal, by which the Company offered to purchase up to $20.0 million of its common stock at a price per share not less than $3.25 and not greater than $3.75 in $0.05 increments, using available cash, which documents were filed with the Securities and Exchange Commission on June 23, 2020.
In accordance with the Company’s previously announced Tender Offer, and based on the final count by American Stock Transfer & Trust Company, LLC, the depositary for the Tender Offer, the Company will repurchase approximately $19.5 million of its common stock, or 5,189,026 million shares, representing approximately 14.7% of its outstanding shares, for payment on or about July 23, 2020, at a price of $3.75 per share, excluding fees and expenses relating to the self-tender offer. The Company accepted all tendered shares in connection with the transaction. The purchase price of properly tendered shares represents 70% of net asset value (“NAV”) per share based on the April 15, 2020 NAV per share.
