Under the Offering, the Corporation issued an aggregate of 3,601,333 units (“Units“), at a price of $0.06 per Unit. Each Unit was comprised of one common share in the capital of the Corporation (each a “Common Share“) and one Common Share purchase warrant (“Warrant“). Each Warrant entitles the holder to purchase one Common Share at a price of $0.12 for a period of 24 months from the closing date.Pursuant to the Offering, the Corporation paid a cash commission to a qualified non-related parties of $8,888 and issued 149,200 broker warrants entitling the holders to acquire one common share at a price of $0.12 per Common Share for a period of two years from the date of issuance.The securities issued in connection with the Offering will be subject to, inter alia, a 4 month hold period in accordance with applicable securities laws in Canada.
