Trius Completes $500,000 Private Placement

FREDERICTON, New Brunswick, May 25, 2020 (GLOBE NEWSWIRE) — Trius Investments Inc. (TSXV: TRU.H) (“Trius” or the “Company”) announced today that it has completed a non-brokered private placement for aggregate gross proceeds of $500,000. The Company issued a total of 10,000,000 common shares in the capital of the Company at a price of $0.05 per share (the “Offering”).The proceeds derived from the Offering will be used for working capital and general corporate purposes, and to fund future investments.Subscriptions by insiders of the Company accounted for $107,500 of the gross proceeds of the Offering. Participation by insiders in the Offering is exempt from the valuation and minority shareholder approval requirements of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions by virtue of the exemptions contained in Sections 5.5(b) and 5.7(1)(b).All of the securities issuable in connection with the Offering are subject to a hold period expiring four months and one day after date of issuance.The securities issued pursuant to the Offering have not been, and will not be, registered under the United States Securities Act of 1933, as amended (the “U.S. Securities Act”), or any U.S. state securities laws and may not be offered or sold in the United States absent registration or an available exemption from the registration requirement of the U.S. Securities Act and applicable U.S. state securities laws.
