SASKATOON, SASKATCHEWAN–(Marketwired – Feb. 28, 2017) – Westcore Energy Ltd. (“Westcore” or the “Company”) (TSX VENTURE:WTR) announces a non-brokered private placement (the “Private Placement”) of up to 3,333,333 units at a subscription price of $0.15 per unit, for gross proceeds of $500,000, subject to TSX Venture Exchange approval. Each unit shall consist of one common share of the Company and one common share purchase warrant, with each warrant entitling the holder thereof to acquire one common share at a price of $0.25 per common share for a period of 24 months from the date of issuance.
Certain directors, officers or other insiders of the Company may participate in the Private Placement and, collectively, their participation may exceed 25% of the total amount of the financing.
The proceeds from the Private Placement will be used to continue advancing the Company’s oil and gas assets. All securities issued pursuant to the Private Placement will be subject to a statutory four month hold period in accordance with applicable securities laws.
