XPEL Technologies Completes First Tranche Private Placement Financing

SAN ANTONIO, TEXAS–(Marketwired – Feb. 27, 2017) – XPEL Technologies Corp. (TSX VENTURE:DAP.U) is pleased to announce that further to its press releases dated January 23, 2017 and February 10, 2017, it has successfully completed a first tranche of its previously announced non-brokered private placement.

Under the first tranche of the private placement, the Corporation issued 1,659,182 Common Shares at a price of $1.43 per share for gross proceeds of $2,372,630.26. All of the Common Shares issued will be subject to a statutory hold period of four months plus one day from the date of completion of the offering, in accordance with applicable securities legislation.

In connection with the offering, 1,260,000 Common Shares were issued to certain directors and officers of the Corporation. The participation of directors and officers in the Offering constitutes a “related party transaction” within the meaning of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101“). The Corporation is relying upon exemptions from the formal valuation and minority approval requirements of MI 61-101 based on a determination that the fair market value of the offering, insofar as it involves related parties, does not exceed 25% of the market capitalization of the Corporation. The Corporation was not in a position to file a material change report more than 21 days in advance of the closing of the Offering as the participation of the related parties was not confirmed at that time.

It is anticipated that no additional insiders will participate in future tranches of the private placement.
